of the annual meeting of
the board of directors of national
representatives association of america The Annual Meeting of the members of the National
Representatives Association of America, a Missouri not-for-profit
corporation, was held at 1819 Clarkson Road, Suite 301, Chesterfield,
Missouri, in the county of St. Louis, State of Missouri, on the 14th day
of February, 2000, pursuant to the provisions of the By-Laws of the
corporation. Present at the meeting were Mark L.
Shaffer, Gregory A. Pearson, J.D., David A. Reese, and Paul Fox, all of
the Directors of the Corporation..
With the unanimous consent of the members, Mark L. Shaffer served
as Chairman of the meeting and David A. Reese served as Secretary. The first item of discussion was the
nomination of the Officers of the Association as provided in the
By-Laws. The duties of each
specified in the By-Laws were reviewed and discussed.
After discussion, the following persons were duly nominated for
the offices set forth opposite their respective names, to have the
duties and to serve for a term of on year beginning February 14, 2000,
or until such time their successors are duly elected and shall have
qualified: President:

President:
Gregory A. Pearson, J.D. Secretary:
David A. Reese Treasurer:
Paul Fox No further nominations being made, the
nominations were closed and each Director proceeded to vote on the
nominees. After the vote had
been counted, the Chairman announced that the above-named persons had been
duly elected for the offices set forth opposite their respective names, to
serve for the above-stated term. There being no further or other business to
come before the meeting, upon motion duly made, seconded and unanimously
carried, the meeting was adjourned. APPROVED:

Minutes of the annual meeting of
the members of national
representatives association of america The Annual Meeting of the members of the National

four (4) Directors of the Association as provided in the By-Laws.
Thereupon, the following persons were nominated as Directors, to
serve a term of one year beginning February 14, 2000, or until such time
as their successors are duly nominated and shall have qualified: Mark L. Shaffer Gregory A. Pearson, J.D. David A. Reese Paul D. Fox No further nominations being made, the nominations were closed and each member proceeded to vote on the nominees. After the vote had been counted, the Chairman announced that the above-named persons had been duly elected as Directors to serve for the above-stated term. There being no further or other business to
come before the meeting, upon motion duly made, seconded and unanimously
carried, the meeting was adjourned. APPROVED:
